Welcome to Industrial Refrigeration Parts Canada (IRPC). These Terms of Service ("Terms") govern your use of our website, products, and services. By accessing or using IRPC's services, you agree to be bound by these Terms. Please read them carefully.

1. Acceptance of Terms By using IRPC's website (https://irpc.ca) or purchasing our products, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy.
2. Use of Services a) You may use our services only for lawful purposes related to industrial refrigeration needs and in accordance with these Terms. b) You agree not to use our services:
   • In any way that violates any applicable federal, provincial, local, or international law or regulation
   • To impersonate or attempt to impersonate IRPC, an IRPC employee, another user, or any other person or entity
   • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the service, or which may harm IRPC or users of the service
3. Account Responsibility a) You are responsible for maintaining the confidentiality of your account information, including your password. b) You agree to notify us immediately of any unauthorized access to or use of your account. c) You are responsible for all activities that occur under your account.
4. Product Information and Ordering a) We strive to provide accurate product information, including specifications, dimensions, and compatibility. However, we do not warrant that product descriptions or other content on the site are accurate, complete, reliable, current, or error-free. b) All features, content, specifications, and prices of products and services are subject to change without notice. c) We reserve the right to limit the quantity of items purchased per order, per person, per household, or per transaction.
5. Pricing and Payment a) All prices are in Canadian Dollars (CAD) unless otherwise stated. b) Prices are subject to change without notice. c) We reserve the right to refuse or cancel any order for any reason, including but not limited to product availability, errors in product or pricing information, or problems identified by our credit and fraud avoidance department.
6. Shipping and Delivery a) IRPC ships to addresses within Canada only. b) Delivery times are estimates and not guaranteed. c) Risk of loss and title for items purchased from IRPC pass to you upon delivery of the items to the carrier.
7. Returns and Refunds a) Please refer to our separate Return Policy for detailed information on returns, refunds, and exchanges. b) Custom orders or specially procured items may not be returnable.
8. Intellectual Property All content on the IRPC website, including text, graphics, logos, images, and software, is the property of IRPC or its content suppliers and is protected by Canadian and international copyright laws.
9. Limitation of Liability a) IRPC and its affiliates, officers, employees, agents, partners, and licensors are not liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of our services. b) Our total liability for any claim arising from or relating to these Terms or our services is limited to the amount you paid to IRPC in the last 6 months.
10. Disclaimer of Warranties Our services and products are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
11. Indemnification You agree to indemnify, defend, and hold harmless IRPC and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from your use of our services or violation of these Terms.
12. Governing Law These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to any principles of conflicts of law.
13. Dispute Resolution Any dispute arising from these Terms will be resolved through binding arbitration in Cambridge, Ontario, in accordance with the rules of the ADR Institute of Canada.
14. Changes to Terms We may modify these Terms at any time by posting updated terms on our website. Your continued use of our services after any changes indicates your acceptance of the modified Terms.
15. Termination We reserve the right to terminate or suspend your account and access to our services at our sole discretion, without notice, for any reason, including but not limited to a breach of these Terms.
